Glossary of Terms

• Seller - Seller of the goods/services
• Purchaser - Purchaser of the goods/services
• Coupon - The coupon used to redeem the goods/services from the Seller
• Deal - The specific offer of discounted goods/services offered through the coupon by the Seller to the Purchaser
• Member - All users who have registered as Linku2 Members
• Minimum Sales Level - The minimum number of coupons that must be purchased by the Purchasers before the coupon is confirmed and the “Deal is on”
• Goods/Services - The goods and/or services offered to the Purchaser through the coupon
• Agent - Linku2 Hibiscus Coast Limited
• Content - Any material published or available through the website including Third Party Content and user generated content
• Website - Linku2 Hibiscus Coast website
• User - Any user of the Linku2 Hibiscus Coast website whether a registered member or otherwise
• We, Us, Our - Linku2 Hibiscus Coast
• You, Your - You (Seller or Purchaser)

Terms of Sale - Seller

1. The Seller and Sales Agent are the same entity. Hereinafter referred as “the Seller”

2. To place coupons on Linku2 Hibiscus Coast the Seller must complete the Coupon Application Form, approval must then be granted by Linku2 before publication of the coupon. This may take up to 72 hours after submission.

3. The Seller is the seller of the Goods/Services promoted through a coupon and is solely responsible for redeeming any Goods/Services purchased by the Purchaser. Linku2 are the agent acting for the Seller in the coupon publication and is not responsible for any problems or disputes between the Purchaser and the Seller.

4. The Seller is limited to a maximum of two deals running simultaneously through the Linku2 website.

5. Linku2 coupons operate on a commission basis as follows –

• Site, Section and Gold clients 10% commission
• Silver and Bronze clients 12.5% commission
• Non Web and Booklet clients 15% commission

6. The Seller keeps the Offer open for the full duration of the coupon terms including any period set in the Terms and Conditions after the coupon is unpublished from the site.

7. An offer has no minimum value but any offers under $50 will incur a set up fee of $15.00

8. Linku2 holds no responsibility for any breach of the contract between the Seller and the Purchaser. Linku2 is not party to any third party claims.

9. Linku2 makes payment for the coupons purchased, minus the commission within 5 working days of the expiration of the publication of the coupon on site.

Terms of Sale – Purchaser

1. To make an offer to purchase a Deal the Purchaser is not required to register as a Linku2 Member. When a coupon is downloaded from Linku2 the Purchaser is indicating they wish to deal with the Seller on the coupon offer and the Purchaser agrees to the Terms and Conditions in the Coupon.

2. Payment for the coupon is made to Linku2 by paypal, credit card or bank transfer. Approval and receipt of the funds need to be confirmed before the coupon is released to the Purchaser please note this may take up to 48 hours.

3. Once a coupon payment has been received and approved an email link will take the Purchaser to the coupon to print and redeem with the Seller.

4. The coupon you are provided through Linku2 is only redeemable in respect of the goods/services as specified in the related deal on Linku2 Hibiscus Coast website and from the Seller and this coupon will be subject to the terms and conditions of the Seller whether or not these are displayed.

5. The coupon you are provided through Linku2 will have a unique identification code and can only be redeemed once by the coupon holder. Once the coupon has been redeemed it is no longer valid.

6. The coupon is your sole responsibility. Neither Linku2 nor the Seller will be responsible for damaged, lost or stolen coupons.

7. Coupons cannot be combined with any other promotions or offers, unless specified by the Seller. Coupons are redeemable in their entirety only and may not be redeemable incrementally unless with agreement from the Seller. The number of coupons redeemable by each Purchaser for a specific deal is determined by the Seller.

8. All coupons will expire on the date specified on the particular coupon.

9. Any use of coupons with regard to alcohol is the discretion and responsibility of the Seller and is subject to compliance with New Zealand law.

10. The reproduction, sale or trade of any coupon is prohibited unless authorised by the Seller.

11. Any attempted redemption not consistent with these Terms will render the coupon null and void.

Conduct of Users

1. The Seller will not place any content on the Linku2 website that is or is reasonably likely to be defamatory, offensive, upsetting, obscene, or that Linku2 may consider, at their discretion, to be objectionable in any way.

2. The Seller will not, directly or indirectly, stalk, abuse, harass, defame, threaten or breach the confidence of or otherwise violate the private and public legal rights (such as rights of privacy and publicity) of others, disrupt an exchange of information between users or otherwise act in a manner that that would have a negative effect on other users.

3. The Seller will not place any content on the Linku2 website which infringes third party intellectual property rights, is prohibited by or violates any New Zealand law or regulation, is known or suspected to be false or misleading, is reasonably likely to be unsuitable for persons under the age of 18 years, contains any virus or otherwise or breaches the Linku2 Terms and Conditions.

4. Linku2 takes no responsibility for the information and images as provided by the Seller in their coupon.

5. The Seller and Purchaser will ensure that any use made of the Linku2 services are made in good faith.

6. The Seller and Purchaser must ensure that, if they are a Linku2 Member, their username and password is kept secure and confidential and not revealed to any third party. Any instruction issued using the Linku2 username and/or password will be deemed to be an instruction of authority from you and may be acted upon accordingly until you notify us otherwise. Both Seller and Purchaser agree to notify us immediately of any unauthorised use of their Linku2 username and/or password or any other breach of security. Upon notification we will delete the username and password immediately and will reissue.

7. The Seller and Purchaser agree to indemnify and hold Linku2 and our officers and employees harmless from any claims, actions, costs (including legal costs) or losses by us or any third party due to or arising out of reasonable reliance by Linku2 or any third party upon any acts carried out, requests made or information provided through the use of your account details (including your username and/or password), your failure to complete any transaction that Linku2 may have facilitated, your breach of any of these Terms or any conduct of yours or any transaction entered into by you that does not comply with the relevant law.

8. The Seller and Purchaser will waive any claim against Linku2 in respect of, or arising from, any reliance by Linku2 upon any use of your username and/or password, including Linku2 disclosing information relating to your registration and/or affairs with us.

Liability

1. The New Zealand Consumer Guarantees Act 1993 may imply warranties or conditions or impose obligations which cannot be excluded, restricted or modified. These Membership Terms must in all cases be read subject to those statutory provisions.

2. Linku2 exclude all responsibility in relation to the Goods and/or Services supplied in a Deal. If any issue does arise, the Purchaser will have recourse directly against the Seller only.

Termination

1. Both the Seller and Purchaser have rights to terminate this agreement at any time with good reason.

2. Linku2 has rights to terminate the agreement at any time. Linku2 also have the right to immediately terminate any Linku2 Member accounts, or delete any links with Sellers or Purchasers in the event of any conduct which we consider to be unacceptable, or in the event of a failure to comply with any of the Linku2 Membership Terms.

Privacy and Personal Information

1. The Seller and Purchaser agree that Linku2 may disclose your personal information (including but not limited to your name and contact details) to the relevant authorities, any internet search provider that you use to access the Linku2 website, and/or the applicable intellectual property rights holders (or their representatives) if we consider you are infringing the intellectual property rights of any person.

2. Linku2 may also disclose any information we consider in our absolute discretion we are required to in order to satisfy any applicable law, regulation, legal process or government request.

3. Otherwise, Linku2 will not release your information to any third party without your express permission.

Changes

1. Linku2 reserve the right to modify these Membership and Coupon Terms at any time provided we inform you of this by notice on the Linku2 website and a direct email to all current Sellers and Purchasers. By continuing to access Linku2 after changes have been made to the Terms and Conditions you agree to be bound by the amended Membership Terms.

Law

1. These Terms are governed by and will be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the Courts of New Zealand.
